Candlestick Technologies Inc.’s (“Candlestick”, “we”, “our”, or “us”) Privacy Policy explains how Candlestick collects, uses, and discloses Personal Information about you. This Privacy Policy applies when you use our website, www.candlestick.com, mobile application, and other online features with our Platform (collectively, our “Platform”). By “Personal Information”, we mean any information which, either alone or in combination with other data, enables you to be directly or indirectly identified, for example your name, email address, username, contact details or any unique identifier such as an IP address, device ID or other online identifier.

Candlestick may change this Privacy Policy from time to time. If we make changes, we will notify you by revising the date at the top of this policy and, when material, we will provide you with additional notice (such as adding a statement to our website or sending you a notification) and consent when required under applicable law. Your continued use of this Platform after we make such changes is deemed to be acceptance of those changes when permissible. We encourage you to review this Privacy Policy periodically to stay informed about our information practices and the choices available to you.

Capitalized terms that are not defined in this Privacy Statement shall have the meaning ascribed in our Terms of Service (which can be found at https://candlestick.com/terms-and-conditions/).

The controller of your Personal Information is Candlestick Technologies Inc., a Delaware company.

The Candlestick Platform is not directed to children under the age of 18. If a parent or guardian becomes aware that his or her child has provided us with Personal Information without your consent, please contact us at [email protected] If we become aware that a child under the age of 18 has provided us with Personal Information, we will take commercially reasonable efforts to delete such Personal Information.

1. Collection of Information

Information You Provide to Us

To use the full Candlestick Platform, you must create an account. In doing so, we collect information you provide directly to us. For example, you share information directly with us when you create an account, fill out a registration form, submit content through our Platform, request customer support, or otherwise communicate with us. The types of Personal Information we may collect include your name, email address, postal address, phone number, professional or employment-related information such as company name or representatives’ names, governmental ID, proof of residence, risk tolerance, financial status and objectives, demographic information, and any other information you choose to provide.

Information We Collect Automatically When You Interact with Us

When you access or use our Platform or otherwise transact business with us, we automatically collect certain information, including:

  1. Activity Information: We collect information about your activity on our Platform, such as data displayed.
  2. Transactional Information: When you make an investment decision, we collect information about the decision, such as product details, purchase price, and the date and location of the transaction.
  3. Device and Usage Information: We collect information about how you access our Platform, including data about the device and network you use, such as your hardware model, operating system version, mobile network, IP address, unique device identifiers, browser type, and app version. We also collect information about your activity on our Platform, such as access times, pages viewed, links clicked, and the page you visited before navigating to our Platform.
  4. Information Collected by Cookies and Similar Tracking Technologies: We (and our service providers) use tracking technologies, such as cookies and web beacons, to collect information about you. Cookies are small data files stored on your hard drive or in device memory that help us improve our Platform and your experience, see which areas and features of our Platform are popular, and count visits. Web beacons (also known as “pixel tags” or “clear GIFs”) are electronic images that we use on our Platform and in our emails to help deliver cookies, count visits, and understand usage and campaign effectiveness.

Information We Collect from Other Sources

We obtain information from third-party sources. For example, we may collect information about you from credit bureaus, advertising networks, data analytics providers, and mailing list providers. Additionally, if you create or log into your account through a third-party platform (such as Facebook or Google), we will have access to certain information from that platform, such as your name, birthday, and profile picture, in accordance with the authorization procedures determined by such platform.

Information We Derive

We may derive information or draw inferences about you based on the information we collect. For example, we may make inferences about your location based on your IP.

2. Use of Information

We use the information we collect to provide, maintain, administer and improve the Platform. We also use the information we collect to:

  1. Ensure proper functioning of the Platform;
  2. Provide services, content, material and other information on the Platform;
  3. Display your information and share investment-related information;
  4. Process transactions and send you related information, including confirmations, receipts, invoices, customer experience surveys, and recall notices;
  5. Personalize and improve your experience on our Platform;
  6. Identify and/or diagnose problems on or related to our Platform;
  7. Send you technical notices, security alerts, and support and administrative messages;
  8. Provide requested information, technical support and/or integrations such as an application programming interface or API;
  9. Respond to your comments and questions and provide customer service;
  10. Communicate with you about products, the Platform, virtual events we may offer and provide news and information we believe will interest you (see the Your Choices and Your Rights sections below for information about how to opt out of these communications at any time);
  11. Monitor and analyze trends, usage, and activities in connection with our Platform;
  12. Personalize the advertisements you see on third-party platforms and websites (for more information, see the Advertising and Analytics section below);
  13. Personalize the advertisements you see when you use our Platform based on information provided by our advertising partners;
  14. Target prospective customers with our products or services (with your consent, where legally required);
  15. Detect, investigate, and prevent security incidents and other malicious, deceptive, fraudulent, or illegal activity and protect our and others’ rights and property;
  16. Debug to identify and repair errors in our Platform;
  17. Comply with our legal and financial obligations;
  18. Carry out any other purpose described to you at the time the information was collected; and
  19. For other reasonable internal use or uses aligned with your relationship with us and the context in which we collected the information.

3. The Legal Basis We Rely On to process your Personal Information

We process your Personal Information primarily under the following legal basis:

  1. Because the Personal Information is necessary for the Services we provide you with and you subscribed to;
  2. Because we obtained your consent, in a format that meets applicable laws, for the processing of Personal Information for defined processing activities. When we are processing your Personal Information based upon your consent, you may, depending on the jurisdictions you are located in withdraw such consent at any time (see sections 9, 10 and 11);
  3. Because we have a legal obligation to process the Personal Information or when we have a legitimate interest to process your Personal Information. The legitimate interest can be of ours or of a third party. It is in the interest of our organization to conduct and manage our business; this includes protecting our interests and enforcing agreements with others, as well as comply with industry self-regulatory requirements. We might have a legitimate interest to process Personal Information in other contexts. We balance any potential impact on you and your rights before we process your Personal Information on that basis. You can obtain further information about how we assess our legitimate interests against any potential impact on you in respect of specific activities by contacting us. 4. Sharing of Information

We share Personal Information in the following circumstances or as otherwise described herein:

  1. We share Personal Information with vendors, service providers, and consultants that need access to Personal Information in order to perform services for us, such as trade processing, data management, fraud prevention, customer service, marketing, advertising, and analytics. Information shared for marketing and analytic purposes includes: device make, model and operating system; device properties related to screen size & orientation, audio volume and battery; carrier; operating system; name and properties of mobile application through which you interact with the Services; country, time zone and locale settings (country and preferred language); network connection type and speed; IP address; Internet browser user-agent used to access the Services; and advertising ID (IDFA on iOS devices and GAID on Android devices).
  2. All authorized users listed on your account may view Personal Information stored in your account. A primary account holder may view Personal Information saved in sub-accounts to which it has authorized access.
  3. If you submit a product review or post content in another public area of our Platform, we share this information publicly on our Platform.
  4. If you choose to use integrations we offer on our Platform, we may share certain information with the integration partners.
  5. We may disclose Personal Information if we believe that disclosure is in accordance with, or required by, any applicable law or legal process, including lawful requests by public authorities to meet national security or law enforcement requirements.
  6. We may share Personal Information if we believe that your actions are inconsistent with our user agreements or policies, if we believe that you have violated the law, or if we believe it is necessary to protect the rights, property, and safety of Candlestick, our users, the public, or others.
  7. We share Personal Information with our lawyers and other professional advisors where necessary to obtain advice or otherwise protect and manage our business interests.
  8. We may share Personal Information in connection with, or during negotiations concerning, merger, sale of company assets, financing, bankruptcy, business closure, or acquisition of all or a portion of our business by another company.
  9. Personal Information is shared between and among Candlestick and our current and future parents, affiliates, and subsidiaries and other companies under common control and ownership. This Personal Information may be used to provide you with offers, services, or products that may be of interest to you and provide you with their products and services. Any such corporate affiliate may use your Personal Information only according to the terms of this Privacy Policy. If you are located in a jurisdiction where such sharing requires your permission, we will only share such Personal Information with your consent.
  10. We share Personal Information with your consent or at your direction.

We also share aggregated or de-identified information that cannot reasonably be used to identify you. Provided that such aggregated data does not directly or indirectly identify you as an individual, this data is not considered to be Personal Information and not covered by this Privacy Policy.

5. Advertising and Analytics

We allow others to provide analytics services and serve advertisements on our behalf across the web and in mobile apps. These entities may use cookies, web beacons, device identifiers, and other technologies to collect information about your use of our Platform and other websites and applications, including your IP address, web browser, mobile network information, pages viewed, time spent on pages or in mobile apps, links clicked, and conversion information. This information may be used by Candlestick and others to, among other things, analyze and track data, determine the popularity of certain content, deliver advertising and content targeted to your interests on our Platform and other websites, and better understand your online activity. Candlestick is not responsible for the privacy practices of these third parties, and the information practices of these third parties are not covered by this Policy.  Both the Network Advertising Initiative and the Digital Advertising Alliance provide information about and technologies to opt-out of receiving some or all interest-based advertising.  These technologies are browser and device specific; they must be adopted on each device you use.  If you block or clear cookies, these technologies may not work.

6. Security and Confidentiality

We are committed to protecting your privacy. Internally, only people with a business need to know, or whose duties reasonably require access to it, are granted access to customers' Personal Information. Such individuals will only process your Personal Information based on our instructions and are subject to a duty of confidentiality. We audit our personnel’s compliance regularly.

The Platform's systems and data are reviewed periodically to ensure that you are getting a quality service and that leading security features are in place. We have put in place procedures to deal with any actual or suspected data breach and will notify you and any applicable regulator of a breach where we are legally required to do so.

We take all reasonable measures to protect and safeguard Personal Information. Unfortunately, the transmission of information via the Internet is not completely secure. While we do our utmost to protect your Personal Information, we cannot guarantee the security of your data transmitted to us over the Internet or through the Platform; any transmission is at your own risk. Once we have received your Personal Information, we will use strict procedures and security features to try to prevent unauthorized access, but there are protective measures you should take, as well. Do not share your Personal Information with others unless you clearly understand the purpose of their request for it and you know with whom you are dealing. Do not keep sensitive Personal Information in your e-mail inbox. You should use a secure password and always use two-factor authentication (2FA), where available. You should change your password regularly.

7. Transfer of Information to The United States and Other Countries

Candlestick is headquartered in the United States, and we may have operations and service providers in the United States and Europe. Therefore, we and our service providers may transfer your Personal Information to, or store or access it in, jurisdictions that may not provide levels of data protection that are equivalent to those of your home jurisdiction. We will take steps to ensure that your Personal Information receives an adequate level of protection in the jurisdictions in which we process it.

8. Retention of Your Personal Information

We retain Personal Information for no longer than necessary for the purposes set out herein or as otherwise required to meet legal or business needs. Because of those retention requirements, we might not be able to honor erasure requests.

9. Your Choices

Account Information

It is important that the Personal Information we collect from you is accurate and current. Please keep us informed if your Personal Information changes during your relationship with us. You may update and correct certain account information at any time by logging into your account. If you wish to deactivate your account, please do so from your account profile on the website or mobile application, but note that we may retain certain information as required by law or for our legitimate interest (or one of a third party).

Communications Preferences

You may opt out of receiving promotional emails from Candlestick by following the instructions in those communications or by logging into your account. If you opt out, we may still send you non-promotional emails, such as those about your account or our ongoing business relations.

Mobile Push Notifications

With your consent, we may send push notifications to your mobile device. You can deactivate these messages at any time by changing the notification settings on your mobile device.

10. Your California Privacy Rights

California law, including the California Consumer Privacy Act or “CCPA” (Cal. Civ. Code § 1798.100 et seq.) and the Shine the Light law (Cal. Civ. Code § 1798.83), afford consumers residing in California certain rights with respect to their Personal Information. If you are a California resident, this section applies to you.

California Consumer Privacy Act (CCPA)

In the preceding 12 months, we have collected the following categories of Personal Information: identifiers, commercial information, internet or other electronic network activity information, professional or employment-related information, and inferences. For details about the precise data points we collect and the categories of sources of such collection, please see the Collection of Information section above. We collect Personal Information for the business and commercial purposes described in the Use of Information section above. In the preceding 12 months, we have not disclosed Personal Information for business purposes.

California law requires that we provide transparency about Personal Information we “sell,” which, for the purposes of the CCPA, broadly means scenarios in which Candlestick has shared Personal Information with third parties in exchange for valuable consideration. We do not “sell” Personal Information for commercial purposes.

Subject to certain limitations, you have the right to (1) request to know more about the categories and specific pieces of Personal Information we collect, use, and disclose, and sell, (2) request deletion of your personal information, (3) opt out of any “sales” of your Personal Information that may be occurring, and (4) not be discriminated against for exercising these rights. You may make these requests by emailing us at [email protected] We will verify your request by asking you to provide information related to your recent interactions with us, such as a verification code or push notification. We will not discriminate against you if you exercise your rights under the CCPA.

If we receive your request from an authorized agent, we may ask for evidence that you have provided such agent with a power of attorney or that the agent otherwise has valid written authority to submit requests to exercise rights on your behalf. 11. Your rights under EU/UK privacy laws

If you are located in the EEA, you have a number of rights in relation to how we process your Personal Information. You may exercise these rights by contacting us (see details below). These include the right to:

  1. access the Personal Information that we may hold about you;
  2. rectify any inaccurate Personal Information that we may hold about you;
  3. have your Personal Information erased in certain circumstances, for example, where it is no longer necessary for us to process your Personal Information to fulfill our processing purposes; or where you have exercised your right to object to the processing;
  4. restrict the processing of your Personal Information where, for example, the information is inaccurate or it is no longer necessary for us to process such information or where you have exercised your right to object to our processing;
  5. object to the processing of your Personal Information which may be exercised in certain circumstances, for example, where your own legitimate interests outweigh ours;
  6. have your Personal Information ported to a new service provider if you no longer wish to use the Services. You may exercise these rights by contacting us (see details below);
  7. when we rely on your consent to process Personal Information (e.g., cookies, newsletter communication), you have the right to withdraw your consent at any time. For cookies, this is done by setting up the cookie’s preferences. For newsletters, you can do so by opting-out using the link provided in the newsletters at any time or by contacting us. We will do our best to honor your request promptly.
